According to item 4 of the law of Ukraine «About investment activity»: «objects of the house construction, financing of which  is carried out with attraction of non-governmental assets, involved from physical and legal bodies, including in management cannot be Objects of investment activity. Investment and financing of building of such objects can be carried out exclusively through funds of financing of building, funds of operations with the real estate, institutes of joint investment, non-governmental pension funds, which are created and operate according to the legislation, and also by means of release of passive (target) bonds, according to which such real estate is the base goods unit».
Thereby, possible schemes of inhabited real estate building financing are legislatively essentially limited. One of the most transparent and popular mechanisms of such investment is creation of BFF. According to the law of Ukraine «About financially-credit mechanisms and management of property at apartment houses building and operations with the real estate», which accurately registers use of FFS and ROF mechanisms, building financing fund is «the money transferred to BFF manager in management, which are used or will be used by the manager in the future on the terms of Rules of fund and contracts about participation in BFF». The Manager is «the financial organization, which on its own behalf operates in interests of establishers of property management and execute administration of the involved means according to the legislation, Rules of fund and has received in established order the permission/license». Thus, the purpose of creation of fund is reception by the BFF principals of the apartment houses property.
Doubtless advantages of this mechanism include full conformity to the legislation, mechanism adjustment at standard level and speed of introduction of the scheme, the maximum transparency and the control over target use of means, simplicity, availability and clearness of the mechanism for potential investors - physical persons. In a combination of other tools application, using of BFF allows to optimize the taxation also.
Assets management company services.
The Assets management company (AMC), according to the law of Ukraine «About institutes of joint investment (share and corporate investment funds) is «an economic establishment, which carries out professional work on assets management on the basis of the license, which issued by the Commission». Institute of joint investment, which is conducted by AMC, is “corporate investment fund or share investment fund, which carries out the activity connected with association (attraction) of investors’ money resources for the purpose of reception of profit on their investment in securities of other emitters, the corporate rights and the real estate”.
Use of AMC services can be addition to use of BFF at investment in building or alternative to it, including the application of the popular "bonded" scheme. The essence of this scheme consists that the company-builder lets out passive (target) bonds, which on principal value are redeemed by the fund that is conducted by AMC. As a result, sale for market price of these bonds to the investors, profit remains at the disposal of fund. According to the legislation, it is not taxed. Thus, use of this mechanism is attractive from the point of view of tax planning and optimization.
Besides, use of AMC and funds in its management, being completely lawful, allows to optimize the taxation not only at building, but also for a wide spectrum of other operations.
